Part of What the 2024 UK consumer law changes mean for beauty influencers

When beauty influencers need a written contract

When beauty influencers need a written contract in the UK: the legal exceptions, advertising disclosure rules and terms to record.

What to take away

  • The shift worth noting is that undisclosed paid promotion is treated as a consumer protection matter, not only an advertising one, so keep a written record of each label.
  • Data protection terms belong in the contract whenever a brand receives audience lists or analytics.
  • Usage rights and exclusivity windows cause most disputes, and both are cheaper to fix before the shoot.
  • This is general guidance for England; individual cases need a qualified adviser.

This article covers collaborations governed by the law of England and Wales: paid posts, gifted content, affiliate links and ambassador retainers. Use it as a filter when paperwork arrives. Scotland and Northern Ireland have separate legal systems, so get local advice if either applies.

When is a written contract legally required?

UK law does not generally require an ordinary paid, gifted, affiliate or ambassador partnership agreement to be in writing. An agreement can be made orally or through messages, although recording the terms in a signed document is usually clearer.

The formal writing requirements most likely to matter in creator partnerships are:

  • Copyright assignment or exclusive licence:Under the Copyright, Designs and Patents Act 1988, an assignment of copyright or an exclusive licence must be in writing and signed by or on behalf of the rights holder.
  • Data processing:Where one party processes personal data on the other's behalf, Article 28 of the UK GDPR requires a written contract or other binding legal act with specified terms. Sharing audience analytics does not, by itself, make the creator a processor.

These requirements do not make a written contract compulsory for every collaboration. Advertising disclosure duties apply whatever form the agreement takes.

1. Write the deliverables down before anything is filmed

If the brief promises three videos and the creator plans two, only the contract resolves it. Name the formats, asset count, revision rounds and approval window.

Deliverables to write down

  • Formats named in the contract
  • Asset count agreed
  • Revision rounds stated
  • Approval window set
  • Schedule attached, not buried

Attach a schedule rather than burying the detail in a paragraph. For an overview of disclosure and platform terms, see the UK rules and compliance guide.

2. Name who carries the disclosure duty

Where content is an advertisement or endorsement with a commercial connection, make that clear to the audience. The Consumer Protection from Unfair Trading Regulations 2008 were the earlier consumer-protection regime; current unfair commercial practices rules are in the Digital Markets, Competition and Consumers Act 2024. The CMA's Social media endorsements: being transparent with your followers explains how to make endorsements clear. The ASA applies the CAP Code, including its requirement that marketing communications are obviously identifiable. Put responsibility for checking disclosure in the contract, but an agreement cannot remove either party's legal responsibilities.

Who checks the disclosure label

  1. Brand sets the brief
  2. Brand controls the label
  3. Name one checker per side
  4. Check before publication
  5. Read CMA guidance first

3. Put data protection terms in the contract

If audience lists or identifiable analytics are shared, establish each party's role and the lawful basis for using the data. Where a party processes personal data on the other's behalf, Article 28 of the UK GDPR requires a written contract with specified terms; receiving analytics alone does not automatically make the creator a processor. The ICO's UK GDPR guidance covers lawful bases, storage limits and individual rights. Record the controller and processor roles for each data set.

4. Limit usage rights by channel and period

Usage rights are where beauty creator partnerships commercial contracts earn or lose money. A three-month licence for owned channels is priced differently from perpetual use across paid media. Write the start date, the channel list, the territory and the renewal fee, and make extension a priced option.

5. Set exclusivity and define the exit

Exclusivity stops a brand watching its ambassador front a rival launch a fortnight later. It needs a category, a territory and an end date. A twelve-month ban on all beauty work has to be priced.

When a category exclusivity clause is reasonable

Three to six months in a defined sub-category, such as colour cosmetics, is common where a retainer is paid. Check whether the clause also covers the creator's own label.

When it becomes a restraint to question

Define the category, territory, duration and compensation precisely. The disclosure rules discussed above do not set a standard exclusivity period.

Checklist before signing

Work through this before the first invoice. If a line is blank, ask why.

  • Deliverables, formats, revision rounds and the approval window.
  • A named contact for disclosure on each side.
  • Data sets, controller roles, retention period and deletion date.
  • Usage rightschannels, territory, start, end and renewal price.
  • Exclusivitycategory, region, length and compensation.
  • Payment terms, late fees, termination triggers and any kill fee.

For the writing requirements, check the Copyright, Designs and Patents Act 1988 provisions on copyright assignments and exclusive licences, and Article 28 of the UK GDPR on controller-processor contracts.

Common questions

Does a message thread count as a contract?

An exchange setting the fee, deliverables and rights can create a binding agreement in England and Wales without a signature, unless a specific legal formality applies, such as the writing requirement for copyright assignments or exclusive licences. That is why a written summary after a call is worth sending.

Do I need a solicitor to draft the agreement?

For one gifted post, a template and the checklist above may be enough. For retainers, exclusivity or paid media rights, take advice from a qualified adviser.

Who is responsible when a label is missing?

Both the brand and creator may face consequences, depending on their roles and the circumstances. Consumer-protection law and the ASA's CAP Code apply alongside the agreement. Name who checks disclosure, but a contract cannot erase either party's legal responsibilities.

How long should usage rights run?

There is no fixed period. Match the licence to the campaign and price any extension. For example, a brand might ask for three months on owned channels and a year on paid media.
